Ch. Mohd Sharief Tariq, Member - (1.) Under consideration is a Company Application that has been filed on 07.11.2017 under Section 252(3) of the Companies Act, 2013, by the Applicant Company viz., M/s. Payoja Investments Private Limited, having CIN No. U45202TN2008PTC069282. The Registered Office of the Applicant Company is situated at Fourth Floor, No.45-47, First Main Road, Gandhi Nagar, Adyar, Chennai - 600 020. The prayer made in the Application is to seek order for restoration of the name of the Applicant Company to the Register of Companies maintained by the concerned Registrar of Companies.
(2.) The Applicant Company is a Private Limited Company and was incorporated on 15.09.2008 under the Companies Act, 1956. The Authorised Share Capital of the Applicant Company is Rs. 1,00,000/-divided into 10,000 equity shares of Rs.10/- each. The issued, subscribed and paid-up capital is Rs. 1,00,000/- divided into 10,000 equity shares of Rs.10/- each. The main object of the Applicant Company is to carry on the business of builders, contractors, engineers in civil, mechanical, electrical and to layout develop construct, build, erect, demolish, re-erect, alter, repair, re-model, build or do any other work in connection with building; to purchase, sell, acquire, take on lease or exchange or in any other manner, any land and building or otherwise acquire, develop, promote and construct immovable properties; ^ to engage in the business of buying, acquiring, trading, selling, transferring or disposing in any manner in lands whether vacant lands, plots etc., and further to buy, acquire, trade, sell, etc.
(3.) It has been stated that the Applicant Company was filing the Annual Accounts and Annual Returns with the Registrar of Companies upto the Financial Year ending 2012. Due to unavoidable reasons, the Applicant Company could not file the Annual Accounts and Annual Returns from the Financial Year 2012-2013 onwards, which is neither wilful nor wanton.;
