JUDGEMENT

- (1.) UPON the application of the above named Applicant Companies by Summons taken out on behalf of the said Applicant Companies dated 3 January 2013 and upon hearing Mr. S. S. Bose, Advocate for the Applicant Companies and upon reading the affidavit of Mr. Arun Kumar Julasaria affirmed on 19 December 2012 and filed on the same date, and Annexure "A" thereto being a copy of the proposed Scheme of Arrangement between Century Plyboards (India) Limited, being the Applicant Company No.1 abovenamed (hereinafter referred to as "CPIL") and Star Ferro And Cement Limited, being the Applicant Company No.2 abovenamed (hereinafter referred to as "SFCL") and their respective shareholders (hereinafter referred to as the "Scheme").
(2.) THAT dispensation is granted for convening the meeting of the Equity Shareholders of SFCL as all the Equity Shareholders of SFCL have given their written consent and approval to the Scheme of Arrangement as stated in paragraph 13 of the Affidavit in support of the Summons. That a meeting of the Equity Shareholders of CPIL be held at Indian Chamber of Commerce Auditorium, 10th Floor, 4, India Exchange Place, Kolkata 700 001, on Wednesday, the 13th day of February, 2013 at 3:30 p.m. for the purpose of considering, and, if thought fit, approving, with or without modification, the proposed Scheme of Arrangement.
(3.) THAT at least 21 (twenty one) clear days before the date of the said meeting an advertisement convening the same and stating that copies of the said Scheme and of the Statement required to be furnished pursuant to Section 393 of the Companies Act, 1956 and a form of Proxy can be obtained free of charge at the registered office of CPIL or at the office of its Advocates Messrs. Khaitan & Co., 1B, Old Post Office Street, Kolkata 700 001 be inserted once each in "The Business Standard", English newspaper, and "Aajkal", Bengali newspaper, in Kolkata. The publication in the Official Gazette is dispensed with.;
