JUDGEMENT

(1.) HEARD Mr. Deepam Borah the learned counsel appearing for the applicant.

(2.) THIS is an application under Section 497(6) of the Companies Act, 1956 filed by the Official Liquidator attached to this Court in respect of M/s Gauhati Mills Private Limited (In Members Voluntary Winding Up) for final dissolution of the Company.

(3.) THAT the Company was incorporated on 20.10.1949 and it was wound up pursuant to a Special Resolution passed by the members of the Company in the Extra Ordinary General Meeting held on 23.10.1981 and Mr. Satyanarayan Agarwalla was appointed as the Liquidator of the Company for the purpose of winding up the affairs and distributing the assets of the Company.
